These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Dripearth LLP, a limited liability partnership incorporated under the laws of India and having its registered office at 3rd Floor, Plot 20, HUDA Techno Enclave, HITEC City, Hyderabad, Telangana – 500081 ("Dripearth", "Company", "we", "us", or "our"), governing your access to and use of www.dripearth.com (the "Website") and all products, services, content, features, and transactions offered therein.

By accessing, browsing, using, or purchasing from the Website, you expressly acknowledge that you have read, understood, and agreed to be bound by these Terms, the Privacy Policy, Refund Policy, Disclaimer, and all other policies published on the Website.

1. ELIGIBILITY

The Website is intended for individuals who are legally competent to enter into binding contracts under applicable law. Users below the age of 18 years may use the Website only under the supervision and consent of a parent or legal guardian.

The Company reserves the right to deny access, refuse service, suspend accounts, or cancel transactions at its sole discretion.

2. WEBSITE AND SERVICE AVAILABILITY

The Company does not guarantee that the Website, any content, or any services shall remain available, uninterrupted, secure, timely, accurate, or error-free.

The Company may modify, suspend, discontinue, restrict, or remove any part of the Website, products, features, pricing, content, or services at any time without notice or liability.

3. ORDERS AND ACCEPTANCE

All orders placed through the Website constitute an offer by the User to purchase products subject to these Terms.

The Company reserves the unrestricted right, at its sole discretion, to:

refuse or reject any order;
limit quantities;
cancel transactions;
restrict Users;
deny promotional benefits; or
terminate access to the Website,

without assigning any reason whatsoever.

An order shall be deemed accepted only upon dispatch of the product.

The Company shall not be liable for any damages, losses, costs, or claims arising out of refusal or cancellation of any order.

4. PRICING, PAYMENTS, AND TAXES

All prices displayed on the Website are in Indian Rupees (INR) and may be modified at any time without prior notice.

Applicable GST and other statutory levies shall be charged in accordance with applicable law.

All payments are prepaid unless expressly stated otherwise. Payments are processed through third-party payment gateways including Razorpay and similar providers. The Company does not store complete payment credentials.

The Company shall not be liable for payment failures, banking interruptions, gateway downtime, fraudulent transactions, unauthorised payment usage, or delays caused by third-party payment providers.

5. SHIPPING, DELIVERY, AND LOGISTICS

The Company currently delivers products within India.

Estimated delivery timelines are indicative only and are not guaranteed. Delays may occur due to logistics disruptions, operational limitations, force majeure events, courier issues, regulatory actions, weather conditions, or other factors beyond the Company’s control.

Risk and responsibility for the product may transfer upon delivery to the shipping carrier or upon successful delivery attempt, as determined by the Company.

Orders returned due to incorrect addresses, refusal to accept delivery, non-availability of recipient, or failed delivery attempts may not qualify for refunds.

6. RETURNS, REFUNDS, AND CANCELLATIONS

Returns, refunds, exchanges, and cancellations shall be governed strictly in accordance with the Refund and Exchange Policy published on the Website.

The Company reserves sole and final discretion in determining eligibility for refunds, returns, exchanges, or cancellations.

Products that are custom-printed, made-to-order, used, damaged by the User, washed, altered, or not in original condition may not qualify for return or refund.

7. INTELLECTUAL PROPERTY AND CREATIVE CONTENT

All Website content, including but not limited to artwork, graphics, designs, text, logos, product visuals, layouts, concepts, and branding materials, are owned by, licensed to, commissioned by, or otherwise lawfully used by Dripearth LLP.

Certain products or creative works may contain transformative, expressive, referential, satirical, commentary-based, or culturally inspired elements influenced by popular culture or public discourse. Such content is created in good faith as original artistic expression.

The Company expressly disclaims any intent to infringe copyright, trademark, publicity, personality, or proprietary rights of any third party.

Users acknowledge that artistic expression, parody, satire, commentary, fair use principles, nominative references, and transformative expression may be recognised under applicable legal frameworks.

The Company reserves all legal rights and defenses available under Indian and international intellectual property laws.

8. NO AFFILIATION

Unless expressly stated otherwise, the Website and products are not affiliated with, endorsed by, authorised by, sponsored by, or connected to any third-party brand, company, intellectual property owner, celebrity, or organisation.

Any references or perceived similarities are incidental, artistic, expressive, referential, or interpretative in nature.

9. USER CONDUCT

Users agree not to:

violate applicable laws or regulations;
misuse the Website;
engage in fraudulent activities;
interfere with Website security or infrastructure;
upload malicious software or harmful content;
infringe third-party rights; or
use the Website for unlawful, abusive, defamatory, or deceptive purposes.

The Company reserves the right to investigate and take appropriate legal or technical action against violations.

10. USER-GENERATED CONTENT

The Website may utilise or integrate third-party services including Shopify, Razorpay, Meta, Google, Delhivery, logistics providers, analytics providers, marketing platforms, and related vendors.

The Company does not control and shall not be responsible for:

third-party platforms;
payment systems;
logistics performance;
external websites;
advertisements;
content accuracy; or
third-party policies and practices.

Users agree that disputes relating to third-party services may be redirected to the relevant provider.

12. DISCLAIMER OF WARRANTIES

The Website, services, products, and all related materials are provided strictly on an "as is", "as available", and "with all faults" basis.

To the fullest extent permitted under applicable law, the Company disclaims all warranties and representations, whether express, implied, statutory, or otherwise, including but not limited to:

merchantability;
fitness for a particular purpose;
compatibility;
uninterrupted access;
non-infringement;
accuracy;
reliability;
durability;
quality consistency; or
error-free functionality.

The Company does not guarantee that product colours, textures, placements, or finishes will appear identical across screens, devices, lighting conditions, or production batches.

13. LIMITATION OF LIABILITY

To the maximum extent permitted under applicable law, Dripearth LLP, its affiliates, partners, licensors, vendors, employees, agents, contractors, and service providers shall not be liable for any:

indirect damages;
consequential damages;
punitive damages;
incidental damages;
reputational harm;
emotional distress;
economic loss;
data loss;
business interruption;
loss of profits;
dissatisfaction claims; or
claims arising from interpretation of creative content,

arising out of or relating to use of the Website, products, services, third-party integrations, delivery delays, payment failures, intellectual property allegations, or any related matter.

In all circumstances, the aggregate liability of the Company shall not exceed the amount actually paid by the User for the specific order giving rise to the claim.

Users expressly waive any claims inconsistent with this limitation.

14. INDEMNIFICATION

Users agree to fully defend, indemnify, and hold harmless Dripearth LLP, its affiliates, partners, officers, employees, contractors, agents, successors, licensors, and service providers from and against any and all claims, proceedings, liabilities, damages, penalties, losses, expenses, and legal fees arising out of or relating to:

use or misuse of the Website;
breach of these Terms;
violation of laws or regulations;
infringement allegations;
user-generated content;
fraudulent conduct; or
disputes involving third parties.

The Company reserves exclusive control over the defense and settlement of such matters.

15. FORCE MAJEURE

The Company shall not be liable for any delay, interruption, or failure in performance arising from causes beyond its reasonable control, including but not limited to natural disasters, pandemics, governmental actions, internet failures, cyber incidents, labour disputes, supply chain disruptions, courier failures, riots, war, acts of God, or technical outages.

16. TERMINATION

The Company may suspend, restrict, terminate, or permanently block access to the Website or services at any time, with or without notice, if it believes a User has violated these Terms or applicable laws.

Termination shall not limit any rights or remedies available to the Company.

17. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of India and the State of Telangana.

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved through mediation.

If unresolved, such dispute shall be subject to the exclusive jurisdiction of competent courts located in Telangana.

Users agree that:

disputes shall be brought only in an individual capacity and not as part of any class or representative proceeding;
any claim must be initiated within 1 (one) year from the event giving rise to the claim;
the Company may seek injunctive or equitable relief without prejudice to other remedies.

18. SEVERABILITY AND WAIVER

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Failure by the Company to enforce any provision shall not constitute a waiver of rights.

19. MODIFICATIONS TO TERMS

The Company reserves the right to amend, modify, or update these Terms at any time without prior notice. Updated Terms may be communicated through the Website or by email to registered users.

Continued use of the Website following publication of revised Terms constitutes acceptance of such revisions.

20. ENTIRE AGREEMENT

These Terms, together with all policies referenced herein, constitute the complete and entire agreement between the User and the Company and supersede all prior communications, understandings, or representations.
